CoreNexus™ Terms and Conditions of Use

BY USING OUR PRODUCTS, YOU ARE AGREEING TO THESE TERMS. THEY OUTLINE IMPORTANT LEGAL REQUIREMENTS, OBLIGATIONS, AND STANDARDS THAT YOU MUST AGREE WITH AND ADHERE TO WHEN USING OUR PRODUCTS. PLEASE READ THEM CAREFULLY.

Welcome and thank you for using Superluminal Systems technologies and services. These Terms and Conditions of Use (this “Agreement”) govern your access to and use of CoreNexus™ and all related products, features, applications, services, technologies, artificial intelligence components, and software offered by Superluminal Systems (collectively, the “Products”). We also require that you read and agree to our Privacy Policy, available at https://discover.core.nexus/privacy-policy, which explains how we collect, use, and protect your personal data.

When we say “Company,” “we,” “our,” or “us” in this document, we are referring to Superluminal Systems, a Nevada Corporation. When we say “you” or “your,” we are referring to the individuals or organizations that access or use our Products.

This Agreement may be modified at any time by Superluminal Systems upon posting of the updated Agreement. Any such modifications shall be effective immediately. You can view the most recent version of these terms at https://discover.core.nexus/terms-of-use. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement. If you do not agree to these terms and conditions, you should not use the Products.

1. Our Products

Superluminal Systems provides the following Products, which may include artificial intelligence (“AI”), machine learning, and automated systems:

CoreNexus™ — An integrative peer-to-peer social web dashboard with AI-powered features, content curation, and social networking capabilities.
TrustGraph — Trust and reputation analytics engine.
Guardian Alliance — An online academy for self-development training.
HoloFractal — A currency distribution system for the CoreNexus™ ecosystem.
Pyre — A cryptocurrency system that stabilizes exchange on the platform.
Additional products, features, and services as introduced by Superluminal Systems from time to time.

Our Products may utilize AI and machine learning technologies to provide personalized experiences, generate content, offer recommendations, facilitate communications, and perform automated analyses. The availability and functionality of AI features may change as our technology evolves.

2. Artificial Intelligence Terms and Disclosures

2.1 Nature of AI-Generated Content

Our Products incorporate AI and machine learning technologies that may generate text, recommendations, analyses, images, and other content (“AI Outputs”). You acknowledge and agree that:

AI Outputs are generated by automated systems and are not the product of human judgment, review, or professional expertise.
AI Outputs may be inaccurate, incomplete, misleading, biased, or otherwise flawed. Superluminal Systems does not guarantee the accuracy, reliability, completeness, or suitability of any AI Output for any purpose.
AI Outputs do not constitute professional advice of any kind, including but not limited to medical, legal, financial, psychological, therapeutic, or safety advice.
You are solely responsible for evaluating, verifying, and deciding whether to rely upon any AI Output. Any reliance you place on AI Outputs is strictly at your own risk.

2.2 No Medical, Therapeutic, or Crisis Intervention Services

THE PRODUCTS ARE NOT DESIGNED, INTENDED, OR AUTHORIZED TO PROVIDE MEDICAL ADVICE, MENTAL HEALTH SERVICES, CRISIS INTERVENTION, SUICIDE PREVENTION, EMERGENCY SERVICES, OR ANY FORM OF THERAPEUTIC TREATMENT. Specifically:

The Products are not a substitute for professional medical or mental health diagnosis, treatment, or counseling.
The Products are not designed to detect, prevent, or intervene in situations involving self-harm, suicide, harm to others, or any life-threatening emergency.
The Products should never be used in circumstances where human health or safety depends on the accuracy or reliability of an AI system.
If you or someone you know is experiencing a medical or mental health emergency, you must contact emergency services (911 in the United States), a licensed medical professional, or the 988 Suicide and Crisis Lifeline (call or text 988) immediately. DO NOT rely on any of our Products in an emergency situation.

2.3 Prohibited Uses of AI Features

In addition to the general prohibited uses set forth in Section 4, you specifically agree NOT to use the AI features of our Products to:

Generate, distribute, or amplify content that incites violence, self-harm, or harm to others.
Provide or seek medical diagnoses, mental health assessments, or treatment recommendations.
Make decisions that could affect the physical safety or well-being of any person.
Generate content designed to deceive, defraud, manipulate, or mislead other persons.
Produce deepfakes, synthetic impersonations, or AI-generated media intended to misrepresent identity or reality.
Develop, refine, or train weapons systems, surveillance systems, or tools for oppression.
Engage in automated or systematic bulk generation of content for spam, disinformation, or manipulation.
Circumvent, disable, or defeat any safety measures, filters, or content moderation systems in our Products.
Use AI Outputs to discriminate against any person or group on the basis of race, gender, religion, national origin, disability, sexual orientation, or any other protected characteristic.
Interfere with or manipulate the AI systems in a manner that degrades the experience or safety of other users.

2.4 Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF AI FEATURES WITHIN OUR PRODUCTS IS AT YOUR SOLE RISK. AI technologies are inherently probabilistic and may produce unexpected, inappropriate, or harmful outputs despite safeguards. By using the AI features of our Products, you assume all risks associated with AI Outputs, including but not limited to risks arising from inaccuracies, errors, offensive content, or any decisions made based on AI Outputs.

2.5 AI Data and Learning

Our AI systems may process and learn from aggregated, anonymized data generated through use of the Products to improve functionality, safety, and user experience. Such processing will be conducted in accordance with our Privacy Policy. You acknowledge that AI systems may change their behavior over time as they are updated, retrained, or improved.

2.6 Human Oversight

While our Products may include AI-powered features, Superluminal Systems reserves the right to apply human oversight, content moderation, and safety reviews to AI-generated outputs and user interactions at any time. Superluminal Systems may, in its sole discretion, restrict, modify, or remove AI Outputs that it determines may be harmful, dangerous, misleading, or in violation of this Agreement.

3. Privacy

Your use of our Products is also governed by our Privacy Policy, available at https://discover.core.nexus/privacy-policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal data, including data processed by our AI systems.

4. Your Commitments and Obligations

4.1 Account Requirements

In connection with your use of the Products, you agree to:

Provide accurate, current, and complete information about yourself during registration and at all times.
Create only one account (your own) and use it for its intended purposes.
Not share your password, give access to your account to others, or transfer your account.
Select a username and password upon completing the registration process and maintain the confidentiality of your login credentials.
Immediately notify Superluminal Systems if you know or have reasonable grounds to suspect that your credentials have been compromised.

4.2 Eligibility

You must NOT use our Products if:

You are under 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
You are a convicted sex offender.
We have previously disabled your account for violations of this Agreement or any other applicable terms or policies.
You are prohibited from receiving our Products, services, or software under applicable laws.

4.3 Prohibited Conduct

You must NOT directly or indirectly do any of the following:

Upload, post, or transmit any informational content that is unlawful, defamatory, vulgar, obscene, libelous, invades the privacy of another, threatens another person or entity, or is otherwise objectionable.
Harm legal minors in any way.
Collect personal information on, “cyberstalk,” or harass another user, or engage in conduct that negatively affects the online experience of another user.
Impersonate another user, person, or entity, including any official or employee of Superluminal Systems or its affiliates.
Intentionally or unintentionally violate any local, state, or federal law, including violations of the Copyright Act.
Upload, post, or transmit any software or files that contain software viruses or other harmful computer code.
Interfere with the operation of the Superluminal Systems web servers, networks, or other infrastructure.
Upload, post, or transmit any content that is the copyrighted, patented, or trademarked intellectual property of another, or the trade secret of or confidential information of another.
Upload, post, or transmit unsolicited or unauthorized advertising, including “spam” or “junk mail.”
Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or AI models used in our Products.
Use any automated systems or software to extract data from the Products (“scraping”) without our express written consent.
Use the Products to develop competing AI models or services, or to benchmark our Products for competitive purposes.

Superluminal Systems does not pre-screen uploaded, posted, or transmitted content, but reserves the right to inspect, edit, and delete any content that it knows, or has reason to know, violates this Agreement. Superluminal Systems reserves the right to immediately, and without notice, terminate the account of any user found to have violated this Agreement.

5. Ownership and Content Licensing

5.1 Your Content

Superluminal Systems does not claim ownership of any informational content submitted by users. By using the Products, you agree to grant Superluminal Systems a non-exclusive, royalty-free license to use, distribute, reproduce, modify, and publicly display any informational content submitted to the Products. This license exists only so long as your content remains on the Products.

5.2 AI-Generated Content Ownership

To the extent permitted by applicable law, AI Outputs generated through your use of the Products may not be subject to traditional copyright protection. You acknowledge that the legal ownership status of AI-generated content is evolving and that Superluminal Systems makes no representations or warranties regarding your exclusive ownership or intellectual property rights in AI Outputs. You are responsible for ensuring that your use of AI Outputs complies with all applicable laws.

5.3 Our Content

All content included on the Products that is not user-submitted content is the property of Superluminal Systems or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use, or publication by you of any such content is prohibited, except as expressly permitted in this Agreement.

6. Site Use License

Superluminal Systems grants you a limited, revocable, nonexclusive license to use the Products solely for your own personal, non-commercial use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the Products, reverse engineer or break into the Products, or use materials, products, or services in violation of any law. Your use of the Products is at the sole discretion of Superluminal Systems and may be terminated at any time.

7. Funding, Payments, Refunds, and Taxes

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all applicable taxes, levies, or duties.

If you are using a free version of one of our Products, it is free: we will not ask you for your credit card and we will not sell your data. You can learn about how we collect and use your data in our Privacy Policy.

8. Digital Currency and Cryptocurrency Terms

8.1 HoloFractal and Pyre

Our Products include HoloFractal, a currency distribution system, and Pyre, a cryptocurrency system that stabilizes exchange on the platform. By using these features, you acknowledge and agree that:

Digital currencies and cryptocurrencies are inherently volatile, speculative, and involve substantial risk of loss.
Superluminal Systems makes no representations or warranties regarding the value, stability, or future availability of any digital currency or token used within the Products.
You are solely responsible for understanding and complying with all applicable tax, regulatory, and legal obligations related to your use of digital currency features, including but not limited to reporting requirements, capital gains, and anti-money laundering laws.
Superluminal Systems is not a bank, financial institution, broker-dealer, or money transmitter, and does not provide financial, investment, or tax advice.
Transactions conducted using HoloFractal or Pyre may be irreversible. Superluminal Systems shall not be liable for any losses resulting from erroneous, unauthorized, or fraudulent transactions.
The regulatory landscape for digital currencies is evolving. Superluminal Systems reserves the right to modify, suspend, or discontinue digital currency features at any time to comply with applicable law or for any other reason.

8.2 Prohibited Digital Currency Activities

You agree NOT to use HoloFractal, Pyre, or any digital currency features of the Products to:

Engage in money laundering, terrorist financing, or any illegal financial activity.
Circumvent sanctions, export controls, or other trade restrictions.
Facilitate fraud, market manipulation, or price manipulation schemes.
Operate unregistered exchanges or money transmission services.

9. Compliance with Laws

You must abide by all federal, state, and local laws. If you are outside the United States, you must comply with all local laws with respect to your online conduct, as well as the export of data to the United States or to your country or residence. You further agree that information provided by you is truthful and accurate to the best of your knowledge.

10. Trademarks

Superluminal Systems, CoreNexus™, TrustGraph, Guardian Alliance, HoloFractal, Pyre, Visionary Arts Academy, and others are either trademarks or registered trademarks of Superluminal Systems. Other product and company names mentioned on the Products may be trademarks of their respective owners.

11. Indemnification

You agree to indemnify and hold Superluminal Systems, its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors, and contractors (the “Indemnified Parties”) harmless from any breach of this Agreement by you. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys’ fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of any content, AI Outputs, or information or service accessed from the Products.

Without limiting the foregoing, you specifically agree to indemnify the Indemnified Parties against any and all claims arising from your use of AI features, including but not limited to claims arising from reliance on AI Outputs, dissemination of AI-generated content, or any injury or damage resulting from decisions made based on AI Outputs. You further agree to indemnify the Indemnified Parties against any claims arising from your use of digital currency features, including HoloFractal and Pyre.

12. Disclaimer of Warranties

THE INFORMATION, SERVICES, AI FEATURES, AI OUTPUTS, DIGITAL CURRENCY FEATURES, AND/OR PRODUCTS ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS. YOU AGREE THAT USE OF THE PRODUCTS IS AT YOUR SOLE RISK. SUPERLUMINAL SYSTEMS DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, SUPERLUMINAL SYSTEMS SPECIFICALLY DISCLAIMS ANY WARRANTY THAT: (A) AI OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, SAFE, OR FREE FROM BIAS; (B) THE PRODUCTS OR AI FEATURES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (C) THE PRODUCTS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (D) AI FEATURES WILL PROPERLY DETECT, FLAG, OR PREVENT HARMFUL, DANGEROUS, OR INAPPROPRIATE CONTENT; (E) AI FEATURES ARE SUITABLE FOR USE IN ANY HIGH-RISK, SAFETY-CRITICAL, OR LIFE-AFFECTING CONTEXT; OR (F) DIGITAL CURRENCIES OR TOKENS USED WITHIN THE PRODUCTS WILL MAINTAIN ANY PARTICULAR VALUE, STABILITY, OR AVAILABILITY.

TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE PRODUCTS SHALL BE TO DISCONTINUE USING THE PRODUCTS.

13. Limitation of Liability

UNDER NO CIRCUMSTANCES WILL SUPERLUMINAL SYSTEMS BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE PRODUCTS, YOUR USE OF THE PRODUCTS, THE AI FEATURES, AI OUTPUTS, DIGITAL CURRENCY FEATURES, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, SUPERLUMINAL SYSTEMS SHALL NOT BE LIABLE FOR ANY HARM, INJURY, DEATH, LOSS, DAMAGE, OR CLAIM ARISING FROM OR RELATED TO: (A) ANY USER’S RELIANCE ON AI OUTPUTS FOR MEDICAL, MENTAL HEALTH, LEGAL, FINANCIAL, SAFETY, OR OTHER PROFESSIONAL DECISIONS; (B) ANY USER’S ACTIONS OR INACTIONS BASED ON AI OUTPUTS, INCLUDING SELF-HARM, HARM TO OTHERS, OR ANY ACT OF VIOLENCE; (C) ANY FAILURE OF AI FEATURES TO DETECT, FLAG, OR PREVENT HARMFUL CONTENT OR DANGEROUS BEHAVIOR; (D) INACCURATE, MISLEADING, OR BIASED AI OUTPUTS; (E) ANY INTERACTION BETWEEN USERS FACILITATED BY THE PRODUCTS; (F) ANY LOSS OF DIGITAL CURRENCY, TOKENS, OR VALUE RESULTING FROM TRANSACTIONS, SYSTEM FAILURES, SECURITY BREACHES, OR MARKET VOLATILITY; OR (G) ANY REGULATORY ACTION TAKEN AGAINST A USER IN CONNECTION WITH THEIR USE OF DIGITAL CURRENCY FEATURES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE PRODUCTS AND/OR CONTENT IS TO CEASE ALL OF YOUR USE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE PRODUCTS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.

14. Safety Acknowledgments and Reporting

You acknowledge and agree to the following:

The Products are not an emergency service and should never be relied upon in any situation involving imminent danger to yourself or others.
If you become aware of content generated by or through the Products that promotes, encourages, or facilitates violence, self-harm, suicide, terrorism, child exploitation, or any illegal activity, you agree to immediately report such content to Superluminal Systems at [email protected].
Superluminal Systems may, in its sole discretion, report to law enforcement any activity or content that it reasonably believes may involve imminent harm to any person, criminal activity, or child exploitation.
You agree to cooperate with Superluminal Systems and law enforcement in any investigation related to your use of the Products.

15. Use of Information

Superluminal Systems reserves the right, and you authorize us, to use and assign all information regarding site uses by you and all information provided by you in any manner consistent with our Privacy Policy.

16. Copyrights and Copyright Agent

If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest.
A description of the copyrighted work that you claim has been infringed.
A description of where the material that you claim is infringing is located on the Products.
Your address, telephone number, and email address.
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

17. Governing Law and Dispute Resolution

You agree that the laws of the State of Nevada, without regard to conflicts of laws provisions, will govern this Agreement and any dispute that may arise between you and Superluminal Systems or its affiliates. If a dispute does arise, you agree that any claim, cause of action, or dispute between us that arises out of or relates to this Agreement or your access or use of the Products shall be resolved exclusively in the state or federal courts located in Clark County, Nevada. You submit to the personal jurisdiction of such courts.

18. Severability

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

19. Waiver

The failure of Superluminal Systems to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by Superluminal Systems must be in writing and signed by an authorized representative of the company.

20. Termination

Superluminal Systems may terminate this Agreement and your access to the Products at any time, with or without notice, for any reason. Upon termination, your right to use the Products will immediately cease. The following sections of this Agreement shall survive termination: Sections 2 (Artificial Intelligence Terms), 5 (Ownership and Content Licensing), 8 (Digital Currency and Cryptocurrency Terms), 11 (Indemnification), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Safety Acknowledgments), and 17 (Governing Law and Dispute Resolution).

21. Relationship of the Parties

Nothing contained in this Agreement or your use of the Products shall be construed to constitute either party as a partner, joint venturer, employee, or agent of the other party. Neither party has any right or authority to incur, assume, or create, in writing or otherwise, any warranty, liability, or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

22. Entire Agreement

This Agreement constitutes the entire agreement between you and Superluminal Systems and governs the terms and conditions of your use of the Products, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Superluminal Systems with respect to the Products. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the Products.
